General Terms and Conditions

1. The Contract and Precedence of Documents

1.1 Nature of these General Conditions: The Pilates Reformer Co. (hereinafter referred to as "the Supplier"), with ABN 58 575 048 807, reserves the right to modify these General Conditions. Amendments will be posted on the Supplier's official website, indicating the effective date. It is the responsibility of the purchaser (hereinafter referred to as "the Purchaser") to review the latest General Conditions before entering into any new Contract. By entering into a Contract after the effective date of updated General Conditions, the Purchaser accepts and is bound by the revised terms. Amendments to the Contract require written agreement from both Parties.

1.2 Contract: The Contract comprises the following documents: the Order, any Special Conditions, these General Conditions, and any other document incorporated by reference. This Contract becomes binding on the parties upon the Execution Date.

1.3 Precedence of Contract Documents: In cases of conflict or inconsistency among the Contract documents, the order of precedence is determined as listed in clause 1.2.

2. Definitions

2.1. In these Terms:

(a) "Goods" means the Pilates reformers and accessories supplied by the Supplier.

(b) "Purchaser" refers to any individual or entity purchasing Goods from the Supplier.

(c) "Supplier" refers to The Pilates Reformer Co., ABN: 58 575 048 807.

(d) "Order" means a request by the Purchaser to purchase Goods from the Supplier, whether made online, by email, or through any other means.

(e) "Delivery" means the transfer of physical possession of the Goods from the Supplier to the Purchaser.

(f) "Price" means the amount payable by the Purchaser to the Supplier for the Goods, including any applicable taxes and delivery charges.

3. Ordering

3.1. All orders for Goods shall be considered offers to purchase the Goods, subject to acceptance by the Supplier. The Supplier reserves the right to accept or reject any order in their sole discretion.

3.2. The Purchaser shall be responsible for ensuring the accuracy of any order placed, including providing accurate delivery information.

4. Price, Taxes, and Payment

4.1. The price of the Goods shall be as stated on the Supplier's website or as otherwise agreed in writing between the Parties.

4.2. Unless otherwise specified, all prices are exclusive of any applicable goods and services tax (GST) or other similar taxes, which shall be added to the total amount payable by the Purchaser.

4.3. Payment for the Goods must be made in full at the time of placing the order, unless otherwise agreed in writing by the Supplier.

5. Delivery

5.1. The Supplier shall deliver the Goods to the delivery address provided by the Purchaser at the time of ordering.

5.2. Delivery times provided by the Supplier are estimates only and shall not be considered binding.

5.3. Risk of loss or damage to the Goods shall pass to the Purchaser upon delivery.

6. Title

6.1. Title to the Goods shall pass to the Purchaser upon full payment of the purchase price.

7. Returns and Refunds

7.1. The Supplier's returns and refunds policy is as described on their website and forms part of these Terms.

8. Warranty

8.1. The Goods are sold with the benefit of any manufacturer's warranty that may apply. The Supplier makes no additional warranties or guarantees beyond those provided by the manufacturer.

9. Limitation of Liability

9.1. To the maximum extent permitted by law, the Supplier shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) the use or inability to use the Goods; (b) any conduct or content of any third party on the Supplier's website; or (c) unauthorized access, use, or alteration of the Purchaser's transmissions or content.

10. Governing Law

10.1. These Terms shall be governed by and construed in accordance with the laws of Australia, and any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.

11. Entire Agreement

11.1. These Terms constitute the entire agreement between the Supplier and the Purchaser concerning the sale of Goods and supersede all prior agreements and understandings between the Parties.

By placing an order with The Pilates Reformer Co., the Purchaser acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
